1. Acceptance of Terms
By engaging with our services, you agree to abide by all terms and conditions set forth in this Agreement. If you do not agree with any part of these terms, you should refrain from using our services.
2. Services Provided
We offer Exchange on a commission basis or otherwise as agreed upon. All services will be provided in accordance with the terms and scope agreed upon in writing with the Client.
3. Commissions
- A commission is any custom work or service ordered by the Client, whether a physical product, digital asset, or otherwise.
- Commissions are subject to mutual agreement on scope, timelines, and fees before work commences.
- We reserve the right to refuse commissions at our discretion.
4. Fees and Pricing
- All fees and prices will be clearly communicated to the Client in writing on his provided E-mail address.
- Pricing is subject to change, but any adjustments will not affect commissions already agreed upon.
- Taxes and other applicable charges may be included based on your location and service specifics.
5. Payment Terms
- Payment for services may be structured as:
- Upfront Payment: Full payment is required before any withdraw is initiated.
- All payments are due [5 days] of receiving the invoice, unless otherwise agreed.
- Any failure to make timely payments may result in work stoppage and could lead to the termination of the Agreement.
6. Late Payments and Penalties
- If payments are not received by the agreed due date, a late payment fee of 1% may be applied after 7 days.
- We reserve the right to halt services, delay project completion, or cancel any pending commissions if payments are delayed.
7. Refunds and Cancellations
- Once work has commenced, no refunds will be provided unless otherwise agreed.
- If the Client cancels a commission after work has started, they may be liable for partial or full payment depending on the amount of work completed.
- Any cancellations must be communicated in writing.
8. Delivery of Services
- Upon receiving full payment, the final product or service will be delivered according to the agreed timeline and format.
- The delivery timeline is subject to change based on project scope or unforeseen circumstances, but any delays will be communicated in advance.
9. Revisions and Modifications
- Minor revisions are included with each commission. Any major revisions or additional work requested after the project is completed may incur additional fees.
- The Client must request revisions within [number of days] of receiving the completed work.
10. Intellectual Property
- The Company retains the intellectual property rights to all works until full payment is received.
- Upon payment, ownership of the commissioned work will transfer to the Client, unless otherwise agreed upon.
- The Company may retain the right to use any completed work in portfolios, marketing, or promotional materials unless otherwise stated by the Client.
11. Limitation of Liability
We are not liable for any direct, indirect, incidental, or consequential damages resulting from the use of our services. In any event, our liability will not exceed the total amount paid by the Client.
12. Confidentiality
We respect the privacy and confidentiality of all Client information provided. No personal information or project details will be shared with third parties without the Client’s consent, except as required by law.
13. Governing Law
This Agreement is governed by the laws of United Kingdom. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts of United Kingdom.
14. Amendments
We reserve the right to modify these Terms and Conditions at any time. Any changes will be communicated to Clients before they take effect.
